About upcoming reorganization of Bourevestnik, NPP by merger with Innovation Center Bourevestnik, JSC.
In order to build a high-tech enterprise to implement innovative activities in the field of development and production of knowledge-intensive X-ray equipment for the mining industry and research into the structure and composition of matter in the Special Economic Zone «Novoorlovskaya» (St. Petersburg) in 2012 «Bourevestnik», NPP established a new legal entity - LLC IC «Bourevestnik» (in 2017 it was transformed into IC Bourevestnik, JSC). 100% of the authorized capital of the established company belongs to Bourevestnik, NPP.
During 2012-2018 «Bourevestnik», in the status of a resident of SEZ «Novoorlovskaya» provided construction of new production facilities of «Bourevestnik», JSC.
Due to the completion of construction, there is a need to concentrate the accumulated scientific and production potential of Bourevestnik, NPP and newly created assets of IC Bourevestnik, JSC in one legal entity.
On February 12, 2018 the Extraordinary General Meeting of Shareholders of Bourevestnik, NPP decided to reorganize Bourevestnik, NPP in the form of a merger with IC Bourevestnik JSC, with the planned completion of the reorganization in June 2018.
In this case, all obligations of Bourevestnik NPP to legal entities and individuals existing at the time of reorganization in accordance with the current legislation of the Russian Federation will be transferred to IC Bourevestnik, JSC and will be fulfilled by IC Bourevestnik, JSC in full.
